Terms and Conditions
of Sale
1. Definitions
In this Agreement, the following expressions have the following
meanings:
"Systech" means Systems Technology Pte Ltd or its subsidiaries.
"Customer" means the person whose order to purchase Products is
accepted by Systech.
"Contract" means a sales contract between Systech and the Customer.
"Products" means any products forming the subject matter of the
Contract including all parts, components or materials incorporated
in the Products.
"Price" means the price for the Products.
"Third Party Products" means those Products that are not manufactured,
assembled or authored by Systech and supplied to Systech by third
parties for resale by Systech.
2. Formation of Contract
The Customer shall purchase the Products from Systech in accordance
with these Terms and Conditions stipulated in some or all of Systech's
quotations, invoices, price lists, catalogues and web pages.
No amendment or exclusion to any part of the Terms & Conditions
shall be binding on Systech unless accepted by Systech in writing.
3. Orders
The Contract shall only be binding upon Systech's acceptance of
the Customer's orders.
Systech, at its sole discretion, may accept the Customer's cancellation
or amendment of orders. The Customer agrees to pay Systech an administrative
fee for the cancellation or amendment of orders.
An order may be cancelled by Systech under the following circumstances:
(i). In the event that the items order are out of stock which is
not reflected at the time of purchase.
(ii). Payment cannot be confirmed
4. Prices
All prices are based in Singapore dollars and do not include any
duties, taxes, import or export fees and freight charges if applicable.
Unless otherwise
stated in the Contract, all prices are quoted ex-warehouse of Systech
or its subsidiaries.
5. Products
Systech may update
or discontinue any Product. Updated products may differ in details
but will have the functionality and performance of the Products
ordered.
6. Mode of
Payment
For purchase of
Products from our on-line store, unless otherwise specified, payment
by credit cards (VISA or MasterCard only) or cash is accepted. For
cash payment, we only accept Singapore dollars.
Orders are processed
upon receipt of payment. While every effort is made to ensure stock
availability, Systech cannot guarantee the Products ordered are
available for shipment by the time the fund or payment is received.
7. Processing
and Confirmation of Order
A written acknowledgement
in the form a fax or email message will be sent to the Customer
within the next working day upon acceptance of the order.
The acknowledgement
document will list out all details of the purchase, delivery and
any other charges if applicable for the reference of the Customer.
8. Delivery
Delivery of the
Products to the Customer is specified in the order acknowledgement.
Any delivery date specified is only indicative and shall not form
part of the Contract.
Unless otherwise
stated and barring from unforeseen circumstances, delivery of Products
within Singapore is normally 6 working days from the date of acknowledgement
of the orders. To locations outside Singapore, the delivery time
may vary from country to country. All freight charges shall be the
responsibility of the Customer.
For deliveries
within Singapore, free delivery is available for a minimum purchase
of S$200.00 per order. Delivery charge of a minimum S$10.00 will
be imposed on orders below the minimum purchase amount.
9. Acceptance
of Products
Unless the Customer
notifies Systech to the contrary on the day of delivery, the Products
shall be deemed to have been accepted by the Customers as being
in good condition and in accordance with the Contract.
10. Warranty
Warranty period
of the Products is specified in some of all of Systech's product
catalogues, invoices and order confirmation. Warranty of the Third
Party Products and Software is the sole responsibility of the manufacturers.
During the warranty
period, Products returned shall be repaired or replaced by Systech.
Such Products shall be shipped to Systech in their original or equivalent
packaging and with freight and insurance prepaid. The risk of loss
or damages during shipment is the responsibility of the Customer.
To request warranty
service, the Customer is to contact Systech's service facility and
obtain an Return Material Authorization Number. Without such number,
Systech is not obliged to accept any returned Products for warranty
service.
During the warranty
period, Systech warrants the Products to be free from defects in
materials and workmanship affecting normal use of such Products.
Systech is not responsible for any loss of data or software and
stored in the returned Products. It is the responsibility of the
Customer to backup all data or software prior to shipment of the
Products to Systech. Systech is not obliged to advised or remind
the Customer on backup procedures.
11. Technical
Supports
Systech will provide
support and assistance by telephone, facsimile or e-mail free of
charge to the Customer within the warranty period. Such service
will be chargeable at Systech's then prevailing rates beyond the
warranty period.
On-site service
if available will be provided by Systech in accordance to the terms
and conditions then in force.
12. Liability
Systech shall
not be liable to the Customer for loss of profits or business information
or contract; stoppage or interruption of business operation; or
any indirect or consequential loss arising from negligence, breach
of contract or howsoever.
13. Privacy
Policy
Your are welcome
to visit our Internet site. At Systech, we respect our customers'
right to privacy online. Your personal data is kept in confidence.
When you place
an order with Systech or its subsidiaries, we require your particulars
such as name, credit card number and expiry date, mailing and shipping
addresses and e-mail address. We hold all your above information
in strict confidence. We use the information for the purposes of
processing your orders, supporting your customer relationship with
Systech and providing improvement of our products and services in
our Internet site.
Our online store
is designed to give you control over the privacy of your information
you provide us. We utilize the industry standard security measures
available through your browser. Your information is encrypted before
it is sent to us to prevent unauthorized access to your information.
We do our best to maintain confidentiality, privacy and integrity
of all your information transmitted. Under unforeseen circumstance
in which security is compromised, Systech shall not be liable for
any loss that may occur.
Systech will not
sell, rent, trade or reveal any of your information to any other
companies for use in selling others' products or services.
14. Force Majeure
Neither party
shall be liable for nay delay in performing any of its obligations
under the Contract if such delay is caused by circumstances beyond
the reasonable control of the party so delaying. Such party shall
be entitled to a reasonable extension of time for the performance
of such obligation.
15. General
The customer shall
not assign or transfer any of his rights and obligations under the
Agreement with the prior approval of Systech.
The Agreement
shall be governed by the laws of the Republic of Singapore and shall
be subject to the non-exclusive jurisdiction of the Singapore courts.
